Louisiana :: SB 746 to Permit LLC Conversions

Effective January 1, 2013, the state of Louisiana will permit limited liability companies (LLC) to convert the state of organization from Louisiana to another state as well as from another state to Louisiana. This new flexibility comes with the passage of Senate Bill 746 (SB 746), which was signed by Governor Bobby Jindal on June 1, 2012. In order to implement the conversion, LLCs must comply with certain requirements of the Louisiana Secretary of State, and must have the authorization of a majority of the members or have a larger vote than the articles of organization or operating agreement require.
