West Virginia :: Pending Legislation

West VirginiaSeveral bills impacting West Virginia’s Business and Licensing Division passed the House and the Senate during the 2013 regular legislative session; however, the bills still require the signature of the governor to become effective. The bills being considered include:

Senate Bill 426: Provides clarification of the definition of a false or fraudulent Uniform Commercial Code (UCC) filing. In addition, the bill allows for civil and criminal penalties for the filing of a false or fraudulent UCC document.

House Bill 2554: Allows foreign corporations to reinstate their good standing following the same procedures currently used by domestic corporations and Limited Liability Companies.

House Bill 2553: Provides the Secretary of State with the authority to administratively dissolve a corporation if their required professional licenses have been revoked or in the event that the corporation is in default with the Bureau of Employment Programs.

House Bill 2567: Allows for the administrative dissolution of Limited Partnerships (LPs) by the Secretary of State as well as providing for the revocation and reinstatement of Certificates of Authority for foreign LPs.
